(C. civ. art. 1124)&nbsp;<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><em>La <strong>promesse synallagmatique<\/strong>. <\/em><\/li>\n<\/ul>\n\n\n\n<p><em>La promesse synallagmatique de vente,&nbsp; aussi appel\u00e9e dans la pratique \u00ab\u00a0<strong>compromis de vente\u00a0\u00bb<\/strong>, est un contrat formel au sein duquel l&rsquo;acheteur et le vendeur s&rsquo;<strong>engagent d\u00e9finitivement<\/strong> \u00e0 acheter pour l&rsquo;un et \u00e0 vendre pour l&rsquo;autre, un bien \u00e0 un prix fix\u00e9 par les deux parties. La promesse synallagmatique de vente <strong>vaut vente<\/strong>. (C. civ. art. 1589)<\/em><\/p>\n\n\n\n<p>Au sein de la promesse synallagmatique, des <strong>conditions suspensives<\/strong> peuvent \u00eatre int\u00e9gr\u00e9es. Ainsi, l\u2019obligation d\u2019acheter incluse dans le contrat devient <strong>conditionn\u00e9e<\/strong> \u00e0 la r\u00e9alisation d\u2019un <strong>\u00e9v\u00e8nement futur et incertain<\/strong>. L\u2019obligation est alors soit <strong>suspendue<\/strong> jusqu\u2019\u00e0 ce que l\u2019\u00e9v\u00e8nement survienne, soit <strong>r\u00e9sili\u00e9e<\/strong> &#8211; <em>selon que l\u2019\u00e9v\u00e8nement survienne ou non<\/em> -. (<em>C. civ. art. 1168<\/em>)<\/p>\n\n\n\n<p>La <strong>condition suspensive d&rsquo;obtention du pr\u00eat<\/strong> est une clause courante dans les promesses synallagmatiques. Elle permet \u00e0 l&rsquo;acheteur de signer le compromis de vente <strong>sous r\u00e9serve de l&rsquo;obtention d&rsquo;un <a href=\"https:\/\/www.zeusinvest.com\/blog\/lmnp-sarl-de-famille\/\">pr\u00eat immobilier<\/a>, <\/strong>dans un d\u00e9lai et sous r\u00e9serve de la r\u00e9alisation de <strong>certaines conditions pr\u00e9d\u00e9termin\u00e9es<\/strong>. Si l&rsquo;acheteur n&rsquo;obtient pas le pr\u00eat dans le d\u00e9lai imparti, le contrat de vente est annul\u00e9 et les <strong>parties sont lib\u00e9r\u00e9es de leurs obligations<\/strong>.<\/p>\n\n\n\n<p>Cependant, la subtilit\u00e9 de cette condition suspensive r\u00e9side en la n\u00e9cessit\u00e9 pour l&rsquo;acheteur de<strong> prouver qu&rsquo;il a accompli toutes les diligences n\u00e9cessaires<\/strong> pour obtenir le pr\u00eat immobilier. En effet, la <strong>3<sup>e<\/sup> Chambre de la Cour de cassation civile<\/strong> a confirm\u00e9 dans un <strong>arr\u00eat du 14 d\u00e9cembre 2022<\/strong> que l&rsquo;acheteur doit \u00eatre en mesure d\u2019apporter la preuve qu&rsquo;il a effectu\u00e9 toutes les d\u00e9marches n\u00e9cessaires pour obtenir le pr\u00eat immobilier. (<a href=\"https:\/\/fidnet.fidroit.fr\/api\/technical-resource\/attachment\/7299\/download\"><em>Cas. civ. 3, 14 d\u00e9c. 2022, n\u00b0 21-24539<\/em><\/a>)<\/p>\n\n\n\n<p>Si l&rsquo;acheteur n&rsquo;a pas prouv\u00e9 qu&rsquo;il a effectu\u00e9 toutes les d\u00e9marches n\u00e9cessaires pour obtenir le pr\u00eat immobilier, le <strong>contrat de vente peut \u00eatre maintenu<\/strong>, m\u00eame si l&rsquo;acheteur n&rsquo;a pas obtenu le pr\u00eat. Dans ce cas, l\u2019acheteur ne peut plus revenir sur son engagement. S\u2019il ne souhaite plus effectuer l\u2019achat et se r\u00e9tracter, le <strong>d\u00e9p\u00f4t de garanti sera d\u00e8s lors perdu<\/strong>.<\/p>\n\n\n\n<p><strong>Condition Suspensive offre d&rsquo;Achat. <\/strong>La Cour de cassation pr\u00e9cise qu&rsquo;une promesse de vente ayant une condition suspensive d\u2019obtention d\u2019un pr\u00eat indiquant <strong>seulement un financement maximal ne contraint pas<\/strong> les futurs acqu\u00e9reurs \u00e0 accepter une offre de financement d\u2019un montant inf\u00e9rieur.
